Tihama General Assembly Rejects Approval to Remove Board Member Saleh Al-Rashid

The ordinary general assembly of Tihama for Advertising, Public Relations and Marketing rejected the approval to remove board member Saleh Ghadeer Al-Rashid from the board membership, based on the board's recommendation according to paragraph (h) of Article Six of the executive regulations of the companies law for listed joint-stock companies. The company said in a statement on Tadawul that the general assembly approved the board's decision to appoint Abdullah Moneef Al-Moneef as an independent board member effective from his appointment date on 26-01-2026 to complete the board's term until the end of the current term on 26-11-2027, succeeding former member Abdulaziz Abdulrahman Al-Ammari (independent member). According to Argaam data, the company had indicated that the item of removing the board member was added based on two final decisions by the Appeals Committee for Securities Disputes convicting Saleh Ghadeer Al-Rashid of violating Article 49 of the Capital Market Law and Article 2 of the Market Conduct Regulations, for trading in shares of a listed company during the period from August 30, 2021 to July 6, 2022, as these actions and practices constituted manipulation, fraud, and created a misleading and incorrect impression regarding the security of that company.
